Count Limited (ASX: CUP) Unveils $66 Million Skybridge Deal. Can Its Acquisition Strategy Deliver Bigger Profits?

Count Limited (ASX: CUP) is making another significant move in Australia's financial services sector, targeting a 75% stake in Skybridge Financial Group as it expands its accounting and wealth management platform.

The acquisition values Skybridge at $66 million on an enterprise basis and brings a business generating approximately $29 million in annual revenue. However, with a $25 million equity raising helping fund the transaction, the bigger question is whether Count can translate its expanding scale into sustainable earnings growth.

Key Numbers

  • 75%: Initial ownership interest Count proposes to acquire in Skybridge.
  • $66 million: Implied enterprise value of Skybridge on a 100% basis.
  • $29 million: Skybridge's approximate FY2026 revenue, with normalised EBITA of $8.8 million and a 30.3% margin.
  • $25 million: Fully underwritten institutional placement priced at $1.57 per share.
  • $1.4 billion: Skybridge's funds under advice, supported by 13 financial advisers and 82 accountants.

The Latest Development

On 5 November 2026, Count announced an agreement to acquire a majority interest in Skybridge, a financial planning, accounting and taxation business operating across New South Wales, Victoria and Queensland.

The transaction represents Count's largest equity partnership investment to date.

Consideration for the 75% interest comprises $25.6 million in upfront cash, $4 million in Count shares, up to $3.3 million in conditional deferred payments and up to $5.8 million in performance-related earn-outs.

To partially fund the acquisition, Count is undertaking an approximately $25 million institutional placement involving 15.9 million new shares at $1.57 each, a 5.4% discount to its 4 November closing price.

Additional funding will come from existing cash reserves and debt capacity.

Management expects the acquisition to deliver mid-to-high single-digit earnings-per-share accretion before synergies on a pro forma FY2027 basis.

Completion remains subject to customary conditions.

What Stands Out to Us

Skybridge's profitability is particularly interesting.

Its 30.3% normalised EBITA margin compares favourably with Count's FY2026 underlying group margin of approximately 20.1%.

The $66 million enterprise valuation also represents approximately 7.5 times Skybridge's FY2026 normalised EBITA.

That suggests Count is acquiring an established earnings stream rather than merely purchasing potential future growth.

Count's underlying business has also demonstrated momentum.

FY2026 revenue increased 15.6% to $165.9 million, while underlying EBITA climbed 20.5% to $33.4 million. Net operating cash flow reached $31.1 million, up 41%, providing evidence of cash generation alongside reported earnings.

In the September 2026 quarter, unaudited revenue reached $52.1 million, up 23.2%, while underlying EBITA increased 66.6% to $12.7 million.

However, quarterly performance benefited partly from carried-over work and strong actuarial consulting revenue, making margin sustainability an important consideration.

What the Company Is Doing Now

Count continues expanding its integrated financial services platform through acquisitions and strategic equity partnerships.

Following its July acquisition of Oracle Group, subsequently rebranded Count Wealth, the company increased its targeted annualised cost synergies to $1.25 million within 24 months of completion.

Its proposed 30% investment in Brisbane-based Apiary, announced on 30 October, further extends its accounting network. Completion is expected in December, subject to conditions.

Skybridge would add established client relationships and cross-selling opportunities, although integrating multiple businesses creates operational and financial demands.

Insight: Can Count's Acquisition Strategy Create Lasting Value?

We think Count's growing accounting and financial advice platform has meaningful commercial potential. Skybridge's established earnings and relatively attractive margins strengthen that proposition, while the group's recent financial performance suggests its expansion strategy is gaining traction. However, increasing scale does not automatically deliver stronger shareholder returns. The proposed equity raising introduces dilution, while additional debt creates financing obligations. Our assessment remains cautiously positive, with sustained earnings-per-share growth, operating cash conversion and disciplined integration providing the clearest evidence that Count's acquisitions are creating lasting value.

What Happens Next?

The immediate priorities are completing the institutional placement and satisfying the conditions attached to the Skybridge acquisition.

Attention will then turn towards integrating Skybridge while maintaining profitability across Count's expanding operations.

FY2027 earnings, operating cash flow and acquisition-related financing costs will be particularly important.

For existing shareholders, the critical test is whether Count can convert its growing national footprint into sustained per-share earnings growth without allowing integration costs, debt or dilution to erode the benefits.
